Addendum to the Verito Website Terms of Use

These Free Template Terms ("Template Terms") are an addendum to the Verito Website Terms of Use, available at verito.com/website-terms. They govern your access to and use of the policy templates, sample documents, checklists, and other downloadable resources Verito makes available at no cost through verito.com(each, a "Template"). The Website Terms of Use are incorporated by reference. If anything in these Template Terms conflicts with the Website Terms of Use, these Template Terms control as to the Templates only. The Website Terms of Use control everything else.

1. Acceptance

By downloading, accessing, or using a Template, you agree to these Template Terms on behalf of yourself and any organization for which you are downloading the Template. You also confirm that you have authority to bind that organization. If you do not agree to these Template Terms or do not have authority to bind the applicable organization, do not access, download, copy, modify, distribute, or use any Template.

2. License

Subject to your compliance with these Template Terms, Verito grants you a limited, non-exclusive, non-transferable, royalty-free license to:

Download the Template.
Customize it for use within your firm or organization.
Reproduce and distribute it internally to your employees, partners, and contractors as part of your own compliance program.

You may not:

Sell, sublicense, lease, or commercially distribute the Template.
Republish the Template, in whole or in part, on the public internet or in any product or service offered to third parties.
Use any Template as part of any product, service, subscription, document library, compliance platform, training program, or other offering made available to third parties.
Remove or obscure Verito branding, copyright notices, version markings, or links to these Template Terms from any copy you distribute outside your organization.
Use the Template to suggest endorsement, certification, audit, or approval by Verito of your firm's compliance posture.
Use any Template in a manner that is unlawful, misleading, infringing, deceptive, or harmful to Verito or any third party.
Use any Template to develop, train, benchmark, or improve a competing template, compliance product, managed service, artificial intelligence system, or other commercial offering without Verito's prior written consent.

3. Not Legal Advice

The Templates are educational resources. They are not legal advice. Use of a Template does not create an attorney-client relationship, accountant-client relationship, fiduciary relationship, professional advisory relationship, or any other special relationship between you and Verito. Verito is not a law firm and does not provide legal services.

The Templates are general in nature and are not tailored to your firm's specific facts, jurisdiction, client base, contractual obligations, cyber insurance policy, or regulatory environment. Compliance obligations under the FTC Safeguards Rule, IRS Publication 4557, state breach notification statutes, and similar requirements vary widely and change over time. Before adopting any Template, consult qualified counsel licensed in your jurisdiction.

4. No Warranty

THE TEMPLATES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, VERITO AND ITS AFFILIATES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, CURRENCY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, VERITO DOES NOT WARRANT, AND EXPRESSLY DISCLAIMS ANY REPRESENTATION, THAT THE TEMPLATES:

MEET, SATISFY, OR CONSTITUTE COMPLIANCE WITH THE FTC SAFEGUARDS RULE, IRS PUBLICATION 4557 OR 5708, THE GRAMM-LEACH-BLILEY ACT, STATE DATA-BREACH NOTIFICATION STATUTES, STATE PRIVACY LAWS, HIPAA, THE REQUIREMENTS OF ANY CYBER-INSURANCE POLICY, OR ANY OTHER LEGAL, REGULATORY, CONTRACTUAL, OR INSURANCE REQUIREMENT;
REFLECT THE MOST CURRENT STATE OF ANY LAW, REGULATION, OR INDUSTRY GUIDANCE;
WILL BE ERROR-FREE, ACCURATE, COMPLETE, OR UNINTERRUPTED; OR
WILL PROTECT AGAINST ANY SPECIFIC LEGAL, REGULATORY, SECURITY, FINANCIAL, REPUTATIONAL, OR OPERATIONAL OUTCOME, INCLUDING ANY DATA BREACH, RANSOMWARE EVENT, REGULATORY ENFORCEMENT ACTION, AUDIT FINDING, OR CLAIM.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VERITO AND ITS AFFILIATES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST OR COMPROMISED DATA, REGULATORY PENALTIES OR FINES, BREACH RESPONSE OR NOTIFICATION COSTS, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR REPUTATIONAL HARM, IN EACH CASE ARISING OUT OF OR RELATING TO THE TEMPLATES OR THESE TEMPLATE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF VERITO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, VERITO'S AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE TEMPLATES OR THESE TEMPLATE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID VERITO FOR TEMPLATES WITHIN THE 3 MONTH PERIOD PRIOR TO THE INCIDENT GIVING RISE TO THE CLAIM OR CLAIMS OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW SOME OF THESE LIMITATIONS, IN WHICH CASE THEY APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

6. Your Responsibilities

You are solely responsible for:

Reviewing the Template for fit with your firm's obligations before using it.
Customizing the Template to reflect your firm's actual practices, vendors, personnel, jurisdictions, and client commitments.
Keeping the Template current as laws, regulations, and your firm's circumstances change.
Obtaining legal, accounting, tax, cybersecurity, insurance, and other professional review where appropriate.
The acts and omissions of any person within your firm or organization who relies on, distributes, or modifies the Template.
Ensuring that your use, modification, distribution, and implementation of a Template complies with applicable law and does not violate any third-party rights.

7. Indemnification

You agree to defend, indemnify, and hold harmless Verito and its affiliates, and each of their respective officers, directors, employees, contractors, agents, successors, and assigns (collectively, the "Verito Parties"), from and against any claim, demand, action, loss, liability, judgment, settlement, fine, penalty, cost, or expense (including reasonable attorneys' fees and costs) arising out of or relating to: (a) your access to or use of any Template; (b) your modification, customization, internal distribution, or external distribution of any Template; (c) your organization's reliance on any Template in any compliance, regulatory, litigation, audit, examination, enforcement, or insurance matter; (d) your breach or alleged breach of these Template Terms; or (e) your violation or alleged violation of any applicable law, regulation, or right of any third party.

Verito will provide written notice of any claim for which it seeks indemnification and will reasonably cooperate, at your expense, in your defense of the claim. You may not settle any claim without Verito's prior written consent (not to be unreasonably withheld) if the settlement requires any admission of fault, payment, or other action by Verito or any other Verito Party. Verito retains the right, at its own expense, to participate in the defense of any claim with counsel of its choice.

8. Updates and Currency

Each Template reflects Verito's understanding of applicable requirements as of the date marked on the Template. Laws, regulations, and best practices change. Verito may update, modify, replace, or withdraw any Template at any time, without notice and without obligation. The version of these Template Terms posted at the time you download a Template controls that download. Verito has no obligation to notify you of changes to a Template you have already downloaded, or to provide updated copies.

9. Marketing Communications and Privacy

If you provide your email address or other contact information when requesting a Template, you agree that Verito may use that information to deliver the Template, send related resources, and send marketing communications about Verito's products and services. You can opt out of marketing communications at any time through the unsubscribe link in any email or by contacting privacy@verito.com. Verito's Privacy Policy, available at verito.com/privacy-policy, governs how we collect, use, and share your information.

10. Ownership Reservation of Rights Trademarks

As between you and Verito, Verito and its licensors own all right, title, and interest in and to the Free Templates, including all copyrights, trademarks, trade names, logos, designs, text, formatting, compilations, derivative works, and other intellectual property rights. No ownership rights are transferred to you. All rights not expressly granted in these Templates are reserved by Verito and its licensors. Your modifications to a Template do not diminish Verito's ownership of the underlying Template or any Verito intellectual property included in it.

"Verito," the Verito logo, and other Verito marks are trademarks of Verito Inc. These Template Terms do not grant you any rights in Verito's trademarks beyond the limited use necessary to retain Verito's branding on copies of the Template used internally within your organization. You may not use Verito's trademarks to promote, market, or distribute your own products, services, or compliance programs.

If you provide Verito with any suggestions, comments, ideas, improvements, corrections, or other feedback regarding the Templates ("Feedback"), you grant Verito a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, transferable license to use, reproduce, modify, distribute, create derivative works of, and otherwise exploit the Feedback for any purpose, without obligation or compensation to you. To the extent permitted by law, you waive any moral rights you may have in any Feedback.

11. Termination

This license terminates automatically if you breach these Template Terms. On termination, you must stop distributing the Template and destroy or delete any copies that are not in active internal use within your firm. Sections 3, 4, 5, 7 through 10, and 12 through 15 survive termination.

12. Governing Law and Disputes

These Template Terms are governed by, and disputes are resolved under, the governing law, venue, and dispute resolution provisions of the Verito Website Terms of Use. To the extent the Website Terms of Use do not address any of those matters, these Template Terms are governed by the laws of the State of Florida (without regard to its conflict-of-laws principles), and the state and federal courts located in Orange County, Florida have exclusive jurisdiction, and the parties consent to personal jurisdiction and venue in those courts.

13. Entire Agreement Severability

These Template Terms, together with the Verito Website Terms of Use and Privacy Policy, are the entire agreement between you and Verito regarding the Templates and supersede any prior or contemporaneous understandings on this subject. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

14. Relationship of the Parties

Nothing in these Template Terms creates any agency, partnership, joint venture, employment, fiduciary, professional, or franchise relationship between you and Verito.

15. Assignment Waiver

You may not assign these Template Terms or any rights or obligations hereunder, by operation of law or otherwise, without Verito's prior written consent. Verito may assign these Template Terms freely. Any purported assignment in violation of this Section is void. Verito's failure to enforce any provision is not a waiver of its right to do so later.
